Beginning August 1, 2013, Nevada adopted the Model Apostille Certificate of the Hague Conference on
Private International Law. The Nevada Apostille is modeled on the trilingual model
certificate published by the Hague Conference and is processed according to the
National Uniform Apostille Standards.
n Arizona, the Articles of
Dissolution for a corporation are governed primarily by Arizona
Revised Statutes (A.R.S.) Title 10 - Corporations and Associations,
specifically § 10-11403, or § 10-1403. These sections outline the
information that must be included in the Articles of Dissolution, such as:
- The corporation's name.
- The date dissolution was authorized.
- A statement that the dissolution was duly
authorized by the board of directors and/or shareholders (if applicable,
with the required approval).
- If shareholder approval was required,
details like the number of votes entitled to be cast, and the number cast
for and against dissolution, or a statement that the number cast for
dissolution was sufficient for approval.
- If voting by voting groups was required,
the information must be separately provided for each group.
In the case of a Limited
Liability Company (LLC), the equivalent document is called Articles
of Termination, and the governing statutes are found in A.R.S.
Title 29 - Partnership, specifically § 29-3701, § 29-3708, or § 29-781.
Key points for both corporations
and LLCs
- Filing with the Arizona Corporation
Commission (ACC): Both Articles of
Dissolution (for corporations) and Articles of Termination (for LLCs) are
filed with the ACC.
- Fees: There's a filing fee associated with these documents.
- Tax Clearance: Corporations are typically required
to obtain a Certificate of Compliance from the Arizona Department of
Revenue, while LLCs generally do not need a tax clearance.
- Publication: Corporations are generally required
to publish their Articles of Dissolution within 60 days of ACC approval.
- Winding up: After dissolution is authorized,
both corporations and LLCs must proceed with the "winding up"
process, which involves collecting assets, paying debts, and distributing
remaining assets.
- Effect of Dissolution: A dissolved corporation continues
its existence but can only carry on business related to winding up its
affairs. An administratively dissolved LLC also continues in existence but
cannot carry on activities except as needed to wind up and liquidate
assets.
